Confidentiality clause bit me when my subcontractor posted photos
I found out last Tuesday that a clause I thought was airtight only covered the direct parties, not the sub I brought in to handle a $12k build in Austin. The sub posted progress pics on Instagram with the client's address visible in the background, and now the client is citing our NDA that says "agents and representatives" but never explicitly names subcontractors. Should I push for indemnification language that binds downstream hires, or is that overkill for small jobs like this one?
