Why I stopped trusting the 'always negotiate the cap' advice on liability clauses
Got a contract from a vendor in Portland last month with a liability cap set at 12 months of fees, and the common advice says push it to 24 or unlimited. I tried something different instead. I asked them to carve out data breaches and IP claims from the cap entirely, which took one email and they said yes without pushing back at all. The cap number barely matters if the scary stuff is sitting outside it. Curious if anyone here has had luck with that move or if I just got a soft vendor.
